1. Introduction

These Terms and Conditions (“Terms”) govern the purchase and use of any digital services provided by StoreReady LLC, a Delaware limited liability company (“StoreReady,” “we,” “us,” “our”). By purchasing services, accessing our website, or engaging with us in any capacity, you (“Client,” “You,” “Your”) agree to be legally bound by these Terms.

These Terms constitute a legally binding agreement and supersede all prior verbal or written discussions. If you do not agree, you must not purchase or use our services.

2. Definitions

Services means the digital store setup, website configuration, design, product formatting, technical integrations, and any related deliverables as described on our website.

Client Materials means any text, login access, brand assets, product information, instructions, or preferences supplied by the Client.

Deliverables means the completed store setup, configurations, design layouts, and digital outputs produced by StoreReady.

Platform Providers includes Shopify, WordPress, hosting providers, payment gateways, and any third-party services used by the Client.

Start of Work means any action taken by StoreReady to begin the project, including assigning a team member, reviewing inputs, or beginning development.

3. Scope of Services

StoreReady provides fully customized e-commerce store setup services. This includes:

  • Creation and configuration of Shopify or WordPress stores
  • Theme installation and design customization
  • Homepage, product page, and essential page setup
  • Installation of basic apps and plugins
  • Starter products inserted as examples
  • Technical fixes necessary for delivery
  • Basic branding where Client materials are provided

The Services DO NOT include:

  • Marketing or advertising services unless separately purchased
  • SEO optimization beyond default basic settings
  • Sales, revenue, or performance guarantees
  • Fulfillment, logistics, or supplier management
  • Legal compliance of Client-added products
  • Ongoing store management after delivery

4. Delivery Process

Delivery time is generally 72 hours after all required inputs are received. Delivery timelines may be extended due to:

  • Incomplete Client inputs
  • Shopify verification delays
  • Incorrect or inaccessible login credentials
  • Third-party platform downtime

StoreReady is not responsible for delays outside our control. Deliverables will be considered “delivered” once store access and confirmation are sent to the Client.

5. Client Responsibilities

The Client agrees to:

  • Provide accurate and timely information
  • Maintain an active Shopify or platform account
  • Ensure access credentials remain valid during the project
  • Respond to communication in a timely manner
  • Review and approve deliverables promptly
  • Manage all marketing, traffic, and business operations independently

Clients must ensure their store complies with all applicable laws and platform rules.

6. No Guarantees or Earnings Claims

StoreReady does NOT provide:

  • Business opportunity services
  • Promises of success
  • Income claims
  • Profit projections
  • Guarantees of traffic or sales
  • Guarantees of ad performance

All results depend on Client marketing, effort, and external factors beyond our control.

7. Intellectual Property Rights

StoreReady grants the Client full rights to use the final store design and deliverables upon project completion.

Third-party assets (themes, plugins, apps, fonts, etc.) remain the property of their respective owners. Clients must comply with all licensing terms for any third-party tools installed in their store.

8. Acceptable Use & Compliance

Clients may not use delivered stores or Services for:

  • Illegal activities
  • Fraud
  • Counterfeit goods
  • Restricted products under Shopify/Stripe/Meta policies
  • High-risk regulated goods
  • Copyright-infringing material

StoreReady reserves the right to refuse or terminate service for violations.

9. Limitation of Liability

To the maximum extent permitted by law, StoreReady shall not be liable for:

  • Loss of profits
  • Loss of data
  • Business interruption
  • Platform bans or account closures
  • Ad disapprovals
  • Chargebacks initiated by buyers
  • Third-party costs or fees

Total liability shall not exceed the amount paid for the purchased service.

10. Indemnification

Client agrees to indemnify and hold harmless StoreReady from any claims, damages, liabilities, legal actions, or regulatory issues arising from:

  • Client misuse of the store
  • Products added by the Client
  • Platform rule violations
  • Advertising or marketing conducted by the Client

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware.

Any disputes shall be resolved through binding arbitration in Delaware, unless otherwise prohibited by law.

Clients agree not to pursue class action claims against StoreReady.

12. Amendments

StoreReady may update these Terms at any time. Updates become binding immediately upon posting.

Continued use of the Services constitutes acceptance of revised Terms.
